Business identity and scope
These terms apply to all quotes and agreements with Malou Trading, trading as Skylio Sites, Piet Heinstraat 3, 1521 KX, Wormerveer, Netherlands, KVK: 97684279. Contact: hello@skyliosites.com. Services are primarily intended for businesses (B2B). The consumer section applies when a private individual orders outside their trade or profession; mandatory statutory rights always prevail.
Quotes and agreement
Quotes are valid for 30 days unless expressly stated otherwise. An agreement is formed when you accept the quote in writing or by email. The accepted quote defines the scope and any expressly agreed exceptions.
Free demo
A free demo is without obligation and remains our property until a paid agreement is concluded. It may not be published, copied or used without payment or written permission.
Prices and VAT
Prices exclude VAT. EU B2B customers with a valid VAT number are generally subject to reverse charge. UK and other non-EU B2B services generally carry no Dutch VAT. Dutch VAT applies to consumers and clients without a VAT number, subject to applicable place-of-supply rules. The quote confirms the exact treatment; consumers receive the total including applicable VAT before accepting.
Payment
50% is payable upfront and 50% at go-live. Invoices are due within 14 days. Late B2B payments accrue Dutch statutory commercial interest and legally permitted collection costs. Consumer interest and collection costs apply only under the applicable statutory notice requirements.
Delivery
Starter: 3–5 working days; Business: 7–10 working days; Plus: 10–14 working days. Timing starts only when the upfront payment AND all required client materials have been received. These are estimates, not strict deadlines. Delays in feedback or materials extend the schedule. Mandatory remedies for non-performance remain available.
Client materials and rights
You supply timely, accurate content and confirm that you have rights to all logos, photos, text and other materials. Business clients indemnify us against third-party intellectual-property claims arising from supplied materials, except where caused by our own acts. Mandatory consumer rights remain unaffected.
Revisions and additional work
One revision round within the agreed scope is included. Extra pages, changes or new scope require approval and are charged at the quoted add-on rate, currently €45 / £40 per 30 min. We agree any extra charge before doing the work.
Care
Care includes hosting, domain, SSL, backups and up to 15 minutes of changes per month under fair use. Unused change time does not roll over. Normal changes are handled within 2 working days after receiving clear instructions and materials. The plan has a 12-month minimum term, then continues monthly and may be cancelled in writing with one month notice. Mandatory consumer cancellation rights prevail.
Hosting availability
Hosting and security are provided on a best-effort basis. There is no additional uptime guarantee beyond the relevant providers’ commitments. Maintenance, outages and dependencies may affect availability; this does not remove mandatory rights or liability that cannot lawfully be excluded.
Ownership and third-party licences
After full payment you own the agreed website content and design, and transferable intellectual-property rights in the bespoke deliverables are assigned to you. Transfer is available on request. Third-party components, fonts, software and other licensed materials remain governed by their own licences; we cannot transfer rights we do not hold.
Liability
For B2B claims, liability is limited to the amount paid for the relevant services in the 12 months before the claim or, for a one-off project, its invoice value. We exclude indirect or consequential losses, including lost profit, to the extent permitted by law. These limits do not apply to intent or gross negligence, or liability that mandatory law prohibits excluding. Consumer statutory rights are not limited.
Suspension and termination
For non-payment we may suspend the website or terminate the agreement only after written notice, a reasonable opportunity to pay and consideration of proportionality. Amounts lawfully due remain payable. Either party retains statutory remedies for a material breach; any consumer safeguards apply.
Data processing for client websites
When we host client websites that collect their customers’ personal data, you remain controller and we act as processor as applicable. A data processing agreement (verwerkersovereenkomst) applies and is available on request. Agree it before collecting customer data through the hosted service.
Consumers: withdrawal
Consumers ordering remotely have a 14-day right of withdrawal from the conclusion of a service contract, without giving a reason. Notify hello@skyliosites.com by an unequivocal statement; the model form below is optional. If you expressly request work to begin during that period, you pay a proportionate amount for services performed before withdrawal. You lose the right only after full performance with your prior express consent and acknowledgement that full performance ends the right. We obtain this separately, never through a pre-ticked box. Applicable refunds are made within 14 days of withdrawal. Statutory consumer rights are not limited.

Dutch law and jurisdiction
Dutch law applies. For B2B disputes, the competent court is the court of the district where the business is established. Mandatory consumer protection, including rights to the consumer’s own court and applicable mandatory protections in their country, remains unaffected.
Translations
If translations differ, the Dutch version prevails, without limiting mandatory consumer rights. Each translation is intended to communicate the same terms clearly.
